These Adviser Terms apply to every advisory firm that holds a plan or a trial on teasr. They form part of our Terms of Service, which also apply to your firm, and of the Data Processing Addendum. Where they differ on your firm’s plan or fees, these Adviser Terms prevail. Prices exclude VAT, and teasr is not registered for VAT, so no VAT is charged on any figure below. Payments are taken through Stripe.

1. Plans

Your firm subscribes to one plan, per firm. Every plan includes unlimited deals. Plans differ by the number of users, how early your firm sees owner profiles and how many requests it can send a month, and by the weekly market briefing (in build), the website readiness check, imports, offices and teams, reporting, support and enterprise controls. They never differ in what a deal receives.

Plans, prices and limits
PlanAnnual, paid upfrontMonthly, 12-month termUsers
Independent£1,950 (no VAT)£195 (no VAT)2
Boutique£5,400 (no VAT)£540 (no VAT)5

Premium£33,000 (no VAT)£3,300 (no VAT)Unlimited
EnterpriseFrom £60,000 (no VAT)Annual only, quotedUnlimited

The first four plans are bought online. The last is quoted for your firm and is on its own contract, which prevails over these terms. The full comparison is on the pricing page. A feature shown there as in build is not charged for until it is live.

Included in every deal, on every plan

  • Figures check and add-back bridge (in build)
  • Certified teasr and information memorandum
  • Your firm’s full brand on every document
  • NDA negotiation and memorandum release
  • Data room with watermarks, audit log and buyer Q&A
  • Q&A answers drafted from the evidence
  • Companies House cross-check and quality-of-earnings flags
  • The owner and their accountant work in the deal with you
  • Unlimited buyers, free to them
  • Your own buyer list, with private, list-wide or open release
  • teasr sign-off within three working days

This list describes the service. A time given for teasr’s sign-off is a target, not a guarantee, and sign-off is a check of the document, not a verification of the facts in it (Terms of Service, clause 14).

2. Term, renewal and cancellation

In plain words: a monthly plan is a 12-month commitment, paid monthly. Annual and monthly plans both renew automatically at the end of each term unless you cancel before the term ends. Cancelling stops the next renewal; it does not end the current term early or refund it.

  • Annual plans are paid upfront for 12 months and are 2 months free against monthly.
  • Monthly plans are a 12-month commitment, billed monthly in advance. The charges for the whole term are payable.
  • At the end of each term your plan renews automatically for a further term of the same length, and we charge or invoice the fee for it, unless it has been cancelled before the term ends.
  • Your firm’s owner or a billing administrator can cancel at any time with Cancel plan on your firm’s billing page, or by emailing us before the term ends. The plan stays active to the end of the current term and then ends. If you cancel a monthly plan, the cancellation takes effect at the end of the term and the charges for the term remain due. Nothing is refunded for part of a term, and you can reverse a cancellation before the term ends.
  • Moving to a higher plan, or from monthly to annual, takes effect immediately, with credit for the unused part of your old plan.
  • Moving to a lower plan, or from annual to monthly, takes effect at renewal.
  • We may change plan prices. A change applies to your plan only from its next renewal, and we will tell you at least 30 days before it.
  • Your firm needs an active plan or a trial to use the adviser platform.

3. Paying, and late payment

  • You can pay by card at checkout, or by invoice. Paid by invoice, the plan starts on the day you buy it, and each invoice is due 30 days after it is issued, by bank transfer or card.
  • If a payment fails or an invoice is unpaid when due, access to certify deals is suspended only after 7 days. Your data is never deleted for non-payment. If payment remains outstanding, we may suspend the plan (Terms of Service, clause 23).

4. Trial

30 days, with no card. A trial includes 1 test run on a sale your firm has already completed. A test run is never certified. To certify a deal, your firm needs a plan. A trial ends on its own and nothing is charged for it.

5. Founding firms

The first 6 firms may be offered half price for their first year, on an annual plan only. teasr issues a code to a firm it is offering this to. It is never applied automatically. The discount applies to the first annual payment; the plan then renews at the full price in force.

6. Fair use

Plans are built for a typical number of deals a year. If your firm regularly runs far more deals than its plan is built for, teasr may suggest moving to a higher plan at renewal. Nothing is charged automatically as a result.

7. Recharging your client

Each renewal invoice shows each deal’s share of your plan, so that your firm can recharge it to its client if it chooses. teasr invoices your firm only. How your firm accounts to its client is a matter between them.

No fee is contingent on a deal completing, and none is charged when one does. What a business sells for changes nothing about what teasr invoices.

8. Owner profiles

Owner profiles are anonymous. Only advisers whose stated criteria fit a profile see it, and fit always comes first. Higher plans see a profile sooner and are never shown to the owner more prominently. Your firm may send a request to talk to an owner, within its monthly allowance. The owner sees every request together on day 7, in random order, and chooses whom to talk to, or nobody. Contact details are shared only then.

There is no fee for being chosen, and no fee to the owner either. An owner needs an Exit Readiness Report before advisers can send requests, and that report includes no valuation.

teasr does not recommend advisers or act for either side. You decide whether advisers can see your profile, and you decide who you talk to.

teasr is not a party to your firm’s engagement letter with an owner.

9. Your firm’s responsibilities

  • Your firm confirms that it holds every authorisation or permission, including from the Financial Conduct Authority, that its activities require, or that those activities fall within an exclusion or exemption it has checked applies to it.
  • Your firm is responsible for its own communications about every deal, including deciding whether any of them is a financial promotion and whether an exemption applies. teasr does not approve any communication.
  • A deal may be listed only if it is a sale of a business and its assets, or of shares carrying, with any the buyer already holds, 50% or more of the voting rights in a company. Minority stakes, fundraising and debt may be listed only with teasr’s written agreement and with every communication about them made or approved by a person authorised by the Financial Conduct Authority who takes responsibility for it (Terms of Service, clause 4).
  • Your firm holds professional indemnity insurance appropriate to its work, has its client’s authority for what it does on teasr, and complies with the law that applies to it, including any anti-money laundering rules.
  • Your firm reviews every document teasr drafts before approving or sending it. AI-generated content may contain errors, and any factual statement in it must be verified independently (Terms of Service, clause 13).

10. Data, confidentiality and records

  • Your firm is the controller of the personal data in the documents it uploads and of the contacts on its buyer list; teasr is its processor under the Data Processing Addendum.
  • Each adviser at your firm accepts teasr’s confidentiality undertaking (version advisor-undertaking-v2) before any seller’s documents are available to them, and your firm is responsible for their compliance with it.
  • teasr records when a document is opened or downloaded, with the time and the IP address, and shows that record to the seller and to the adviser firm acting for it. A data room document carries the reader’s name, email address and IP address and the time; a teaser carries the reader’s name and the time of download.

11. Always free

  • Finding out what a buyer will ask about your numbers
  • A seller account, whether you came alone or your adviser invited you
  • Everything during the sale, for the owner: the adviser’s plan covers it
  • Talking to advisers who ask to talk to you
  • Buyer access, permanently

What teasr does not do

teasr never takes a percentage of anything, and no fee it charges is contingent on a deal completing. There is no fee for being chosen by an owner and no tail on any engagement your firm wins.

teasr does not sell businesses, negotiate, act for either party to a transaction, or give advice on price, structure or terms. It does not choose who sees a deal: your firm and the seller decide, and the software carries out the decision. Your firm does the advising and is responsible for it.

teasr provides software to advisory firms and business owners. It is not authorised or regulated by the Financial Conduct Authority, does not act for any party to a transaction, recommends no transaction, and gives no advice on price, structure or terms.

teasr is not registered for VAT, so no VAT is charged.
